How to File a Business Debt Hibernation (BDH) Notice
To file an Business Debt Hibernation notice you must first have a client account with the company registry. To set up a new account, please see the How to Access the Companies and Incorporated Societies Registry guide or click the Create Account link.
Once you have created your account, you can complete your Business Debt Hibernation notice registration. After logging into the registry, select COVID from the top navigation bar. Under the COVID SEARCHES AND FILINGS section, click the link to FILE A BUSINESS DEBT HIBERNATION NOTICE.
You will first be required to select the entity type (Cook Islands Company, Partnership, Sole Trader, or Other Entity) which will cause the correct application form to appear for you. You will then enter the remaining notice information. After all information is collected, you will be able to review your work before it is submitted for the Registrar to review.

Notice Information for a Cook Islands Registered Entity
- Entity Registration Number: If you are filing a notice for a Cook Islands Registered Entity, you will first be required to enter the entity registration number of a Cook Islands Registered Entity in good standing. If the Entity has not yet re-registered in the new registry, it must do so before filing the BDH Notice. The Entity Name will be populated based on the Entity Registration Number.
- Affirmations by registered entity: Enter affirmations of entity solvency aside from the Covid-19 impact.
- Date of Board Resolution: Enter the date the board certified all points required for BDH filing under Section 13(1) of the Act.
- Board Resolution Upload: Upload a copy of the Board Resolution under which the directors certified all points required in Section 13(1) of the Act.
- Applicant Signature and Capacity: Enter the name of the applicant completing the BDH notice and specify if the applicant is acting in the capacity of a Director or an Other Authorized person.

Notice Information for a Partnership
- Name of Partnership
- Partners: Enter all partners in the Partnership. The partners may be individuals or registered entities and should be identified and entered as such by adding items to partner lists A and B on the form as appropriate.
- Affirmations by all partners in the partnership: Enter affirmations of all partners in the partnership that the partnership was solvent aside from the Covid-19 impact.
- Date of Partnership Resolution: Enter the date the partnership certified all points required for BDH filing under Section 13(1) of the Act.
- Partnership Resolution Upload: Upload a copy of the Partnership Resolution under which all the partners certified all points required in Section 13(1) of the Act.
- Applicant Signature and Capacity: Enter the name of the applicant completing the BDH notice and specify if the applicant is acting in the capacity of a Partner or an Other Authorized person.

Notice Information for a Sole Trader
- Identification of Sole Trader: Enter the full name, nationality(ies) and address of the Sole Trader. The name must be entered exactly as entered on the Sole Trader's passport.
- Trading Name: If a "doing business as" name is used, enter that name here.
- Certifications by Sole Trader: Enter certifications that the sole trader was solvent aside from the Covid-19 impact.
- Date of Certification: Enter the date by which the sole trader certified all points required for BDH filing under Section 13(1) of the Act.
- Certification Upload: Optionally, upload a copy of any documents in support of the certification of all points required in Section 13(1) of the Act.
- Applicant Signature and Capacity: Enter the name of the applicant completing the BDH notice and specify if the applicant is acting in the capacity of a Director or an Other Authorized person.

Notice Information for an Other Entity
- Identification of unincorporated entity: Enter the full name of the unincorporated entity along with the entity type indicating whether it is a club, trust, charity or other type of entity. Next, enter the full name of the person responsible for the entity as well as their nationality(ies) and address.
- Affirmations by Entity: Enter affirmations by persons controlling the unincorporated entity (its "Board") certifying that the entity was solvent aside from the Covid-19 impact.
- Date of Certification: Enter the date the controlling persons certified all points required for BDH filing under Section 13(1) of the Act.
- Resolution Upload: Upload a copy of the Resolution under which persons controlling the unincorporated entity (its "Board") certified all points required in Section 13(1) of the Act.
- Applicant Signature and Capacity: Enter the name of the applicant completing the BDH notice and specify if the applicant is acting in the capacity of a Director or an Authorized Officer.
